Hospital Onboarding Agreement

QiNo — Hospital Partnership & Platform Agreement

This Hospital Onboarding Agreement ("Agreement") is entered into between QiNo ("Platform") and the registered Hospital/Clinic ("Hospital") upon acceptance during the onboarding process. By selecting "I Agree", the Hospital confirms that it has read, understood, and agrees to be bound by the following terms.

1. Purpose

QiNo is an AI-powered Patient Flow & Queue Intelligence Platform that enables hospitals to manage OPD appointments, smart token booking, queue management, patient notifications, and related healthcare services.

2. Hospital Responsibilities

The Hospital agrees to:

• Provide accurate and complete hospital information.
• Maintain valid licenses and registrations required to operate.
• Keep doctor profiles, consultation fees, and schedules up to date.
• Ensure that doctors adhere to the consultation schedule configured in the platform.
• Honor all confirmed bookings made through QiNo.
• Use the platform only for lawful healthcare-related purposes.
• Maintain patient confidentiality in accordance with applicable laws.

3. QiNo Responsibilities

QiNo agrees to:

• Provide access to the Hospital Admin Portal.
• Provide Receptionist App access.
• Enable Smart Token Booking.
• Provide Dynamic Token Assignment™.
• Provide Smart Arrival AI™ recommendations.
• Provide Live Queue Tracking.
• Provide QR Check-in functionality.
• Provide reports and analytics.
• Maintain reasonable platform availability.
• Provide technical support during business hours.

4. Doctor Schedule Management

The Hospital is solely responsible for configuring:

• Doctor availability
• Consultation sessions
• Maximum token capacity
• Walk-in limits
• Emergency token limits

QiNo automatically assigns tokens based on the configured schedule and AI algorithms.

5. Booking Policy

The Hospital acknowledges that:

• Patients receive automatically assigned tokens.
• Token allocation is optimized using Dynamic Token Assignment™.
• Smart Arrival AI™ provides estimated arrival recommendations based on traffic, queue progress, and consultation estimates.
• Estimated consultation times are indicative only and may change due to emergencies, walk-ins, or consultation duration.

6. Consultation Fees & Payments

• Consultation fees are determined solely by the Hospital.
• Platform booking fees (if applicable) are collected according to the agreed commercial model.
• QiNo is not responsible for consultation fee disputes between patients and hospitals.

7. Patient Data & Privacy

The Hospital agrees to:

• Protect patient information.
• Use patient data only for healthcare purposes.
• Comply with applicable data protection and healthcare privacy regulations.
• Not share patient information with unauthorized parties.

8. Platform Usage

The Hospital shall not:

• Misuse the platform.
• Upload false or misleading information.
• Attempt unauthorized access to the platform.
• Use QiNo for illegal activities.

9. Service Availability

QiNo will make reasonable efforts to maintain uninterrupted service. However, temporary interruptions may occur due to maintenance, software updates, or unforeseen technical issues.

10. Intellectual Property

All software, trademarks, branding, AI algorithms, dashboards, and technology used by QiNo remain the exclusive intellectual property of QiNo.

The Hospital receives only a limited, non-transferable license to use the platform during the subscription period.

11. Limitation of Liability

QiNo provides technology for queue and patient flow management. QiNo is not responsible for:

• Medical treatment
• Clinical decisions
• Doctor availability
• Consultation outcomes
• Medical negligence

These remain the sole responsibility of the Hospital and its healthcare professionals.

12. Suspension & Termination

QiNo reserves the right to suspend or terminate access if the Hospital:

• Provides false information
• Violates applicable laws
• Misuses the platform
• Breaches this Agreement

The Hospital may terminate its account by providing written notice according to the applicable subscription terms.

13. Updates

QiNo may introduce new features, improvements, and security updates. Continued use of the platform constitutes acceptance of such updates.

14. Governing Law

This Agreement shall be governed by the laws applicable in the jurisdiction where QiNo is registered, and disputes shall be subject to the competent courts of that jurisdiction.

15. Acceptance

By selecting the checkbox during registration and clicking "Create Hospital Account", the Hospital confirms that:

• It has read this Agreement.
• It agrees to comply with all terms.
• It is authorized to register the Hospital on behalf of the organization.
